  1. About this license

1.1 Welcome: This is the Doczilla Templates License (“License”). It applies to Individuals and Teams subscriptions for Doczilla.co (“Doczilla”). For Enterprise licensing needs, please contact support@au.doczilla.co.

1.2 Relationship to User Terms: This License supplements and forms part of the Doczilla User Terms. If there is any inconsistency between this License and the User Terms, this License prevails only to the extent of the inconsistency regarding licensing of Templates.

1.3 Interpretation: Capitalised terms not defined here have the meaning given in the Doczilla User Terms. “Include” and “including” are not words of limitation. Where a right is at Doczilla’s discretion, it means sole discretion.

  1. Key definitions

2.1 Template / Professional Template: Interchangeable terms referring to the same thing—downloadable, editable professional documents (e.g., Word, Excel, PowerPoint, PDF, Google formats) offered on Doczilla.

2.2 Author: A rights holder who contributes and licenses Templates to Doczilla.

2.3 Subscriber: A Member with a current paid subscription (Individual or Teams).

2.4 Registration: The act of recording, within your Doczilla account, the intended use of a Template for a specific Project/End Product (e.g., client matter “ABC Pty Ltd FY2025 BAS Setup”).

2.5 End Product: A deliverable created by applying skill and effort to customise a Template for (i) one client matter or (ii) one internal purpose (e.g., your firm’s onboarding pack), such that the result is larger in scope and different in nature than the base Template.

2.6 Client: Your customer (external to you) who receives an End Product.

2.7 Team Seat: An allocated user seat under a Teams plan.

  1. License grant & scope

3.1 Grant: For each Template you download and register under an active subscription, Doczilla grants you a non-exclusive, worldwide, revocable license to use that Template once per registration to create one End Product.

3.2 Active subscription required: You must hold an active Doczilla subscription to (a) download Templates, (b) register usage, and (c) complete the End Product.

3.3 Single-use per registration: Each Registration covers one End Product (one client matter or one internal purpose).

  • Want to reuse the same Template on a different client or different internal purpose? Register it again before you start that new End Product.
  • Teams: each registered use is tied to the relevant licensee/team and Project name you record at Registration.

3.4 Ownership: Authors (or Doczilla, where applicable) own the Templates. You do not acquire ownership—even if you modify the Template or embed it in an End Product.

  1. License start, duration & survival

4.1 Commencement: The license for a Template starts on Registration during an active subscription.

4.2 Perpetual for completed End Products: If you complete the End Product while your subscription is active, your license to use that Template within that completed End Product is perpetual (continues for the life of that End Product).

4.3 After subscription ends:

  • You may not create new End Products or register new uses.
  • You may continue to use the Template only as already incorporated in previously completed End Products.
  1. What you may do

5.1 Modify & adapt: You may modify, reformat, and adapt a Template to create your End Product (e.g., add clauses, restructure headings, insert branding, formulas, charts, checklists).

5.2 Multiple copies: You may make unlimited copies of the End Product (e.g., distribute the final client pack to the client team; distribute your internal policy pack to all staff).

5.3 Distribution: You may display, reproduce, communicate, and distribute the End Product in any media (e.g., email, client portal, print, intranet) provided the Template is not extractable as a standalone file.

5.4 Limited client sublicense: If you create an End Product for a Client, you may transfer that End Product to the Client, including a limited sublicense to use the Template only as embedded in that End Product and only for that same purpose.

  • You must ensure the Client cannot extract the Template for separate use and is informed of these limits.

5.5 Template packs: If a Template contains multiple components (e.g., several forms/schedules):

  • You may use multiple components in one End Product under one Registration.
  • If you use components to create different End Products, register again for each additional End Product.

5.6 Internal standardisation: You may convert a Template into your internal standard (e.g., your firm’s engagement letter master) as one End Product. Creating additional variants for other business units or brands constitutes additional End Products and requires additional Registrations.

  1. What you may not do

6.1 No redistribution of Templates: You may not share, resell, gift, distribute, or make the Template itself (or a trivially modified version) available as a standalone file—whether free or paid, whether on marketplaces, file shares, internal template repositories, or otherwise.

6.2 No “on-demand/build-your-own”: You may not use Templates in any tool, platform, or service that allows end users to generate customised documents on demand where the Template is the underlying source.

6.3 No extractability: You must not deliver End Products in a form that allows the Template to be extracted and reused (e.g., sending the raw Template without meaningful integration or protection).

6.4 No trademark claims over Templates: You may not claim trade mark, service mark, or similar rights over any Template content. (You may, however, claim rights over your own original text, logos, or designs added by you.)

6.5 No AI training: You may not use Templates (or substantial portions) to train, develop, or improve AI or ML systems, directly or indirectly.

6.6 No use beyond End Product scope: Client sublicenses are strictly limited to the received End Product and do not permit re-use of the Template for new matters or projects.

6.7 No unlawful / disallowed uses: You may not use Templates in violation of law, in ways prohibited by Doczilla’s Acceptable Use Policy, or for deceptive, defamatory, or misleading purposes.

  1. Practical examples

7.1 Permitted

  • You customise an “Accounting Engagement Letter” Template for ABC Pty Ltd FY2025. You register it, complete the deliverable during your active subscription, and provide it to ABC. ABC may use that letter for the engagement’s life.
  • You adapt a “New Staff Onboarding Checklist” Template into your firm’s official onboarding pack. That’s one internal End Product. If you later create a separate version for your Audit division with different workflows, that’s a new End Product requiring a new Registration.

7.2 Prohibited

  • You upload a Template (or a lightly edited version) to your firm’s shared drive or a third-party marketplace for others to download and reuse as a template.
  • You power a “document generator” website or internal system from Templates such that end users can create customised documents on demand using the Template as source.
  • You deliver the Template file itself to a Client in a way that lets them extract and reuse the Template for other matters.
  1. Attribution, previews & sample data

8.1 Attribution: No attribution is required unless specified in the Template notes. You must not misrepresent authorship of Template content you did not create.

8.2 Previews: Preview documents are provided solely to evaluate suitability and must not be used in production.

8.3 Sample data / placeholders: Remove or replace all sample data, examples, and placeholders before external distribution; you are responsible for the accuracy and suitability of your final End Product.

  1. Responsibility for compliance

9.1 Professional context: Templates are general professional resources and do not constitute legal, tax, or accounting advice. You are responsible for ensuring compliance with applicable standards (e.g., ATO/AASB/ASIC/TPB or other relevant regimes) and suitability for your specific facts and circumstances.

9.2 Privacy & confidentiality: You are responsible for handling any personal or confidential information inserted into Templates in accordance with applicable privacy and security laws/policies.

9.3 Quality & fitness: Doczilla is not responsible for the accuracy of Template descriptions, keywords, or third-party materials referenced. You must review and adapt Templates appropriately before use.

  1. Third-party components

10.1 Third-party content: A Template may reference or include third-party elements (e.g., sample clauses, images, citations). Where identified, any separate third-party license terms apply to those components; this License applies to the remainder.

10.2 Open content: If a Template includes content under open licences (e.g., Creative Commons), those licences govern that content and may impose attribution or other conditions. You must comply with them.

  1. Termination & changes

11.1 Breach: Doczilla may terminate this License for a Template (or your subscription) if you breach this License or the User Terms and fail to promptly cure (where curable). Upon termination, you must stop using affected Templates, including ceasing distribution of End Products unless you first remove the Template from them.

11.2 Updates to License: Doczilla may modify this License. The current version will be posted on https://au.doczilla.co. Continued use of Templates after changes take effect constitutes acceptance of the updated License.

12.1 Governing law: This License is governed by the laws of the State of New York, excluding its conflicts of law principles.

12.2 Notices & support: Questions about this License? Contact support@au.doczilla.co or use https://au.doczilla.co/contact/. Notices to you may be provided via the website or to the email associated with your Doczilla account.

  • One Registration = One End Product. Re-register for each new client matter or internal purpose.
  • Perpetual for completed End Products (finished during an active subscription).
  • No redistribution of Templates (even modified) as standalone files or in other template libraries.
  • No on-demand/build-your-own document generators powered by Templates.
  • Clients may use the Template only as embedded in the received End Product and only for that same purpose.

Reminder on terminology

Templates” and “Professional Templates” mean the same thing and may be used interchangeably across Doczilla policies and this License.
