Welcome to Doczilla.co, the online professional document templates marketplace for highly skilled professionals. These Seller Terms (“Seller Terms”) form a legally binding agreement between you (“Seller”, “you”, or “your”) and Doczilla and/or its affiliates and/or nominees (“Doczilla”, “we”, “us”, or “our”). By becoming a Seller on Doczilla.co, you agree to comply with and be bound by these Seller Terms, which supplement and form part of the Doczilla User Terms and the Doczilla Templates License.

  1. Definitions and Interpretation

In these Seller Terms:
“Professional Templates” or “Templates” means the digital document templates, including associated files, documentation, and metadata, that you upload to Doczilla for licensing to Subscribers in accordance with these Seller Terms.
“Subscriber” means a Member who purchases a subscription to access Professional Templates on Doczilla.co.
“Member” means any User who registers and maintains an account with us.
“Net Revenue” means gross subscription revenue less taxes, refunds, reversals, affiliate costs, content commissioning costs, discounts, and payment processing fees.
“Group Companies” means Doczilla and/or its affiliates and/or nominees, including any successors and permitted assigns.
“Professional Representation” means any express or implied statement that you are a qualified, licensed or experienced professional (e.g., accountant, lawyer, engineer) or that your Template is targeted to qualified or experienced professionals for professional use.
“Certificate of Currency” means a current written confirmation from your insurer evidencing active insurance coverage, including policy type, limits, territory, retroactive date (if any), and policy period.

  1. Becoming a Seller

Becoming a Seller on Doczilla is free but subject to a review and verification process. You must provide accurate and complete information, including your name, address, date of birth, government-issued ID, and any required tax or business registration details. Failure to provide accurate information may result in rejection, suspension, or termination of your account.

  1. Rights You Grant to Us

By uploading Professional Templates to Doczilla, you grant Doczilla and its Group Companies a worldwide, non-exclusive, royalty-based licence to market, reproduce, publish, display, distribute, sublicense, and communicate your Templates to Subscribers in accordance with the Doczilla Templates License. This includes the right to use your Templates in promotional materials and to offer them to enterprise clients under negotiated agreements.

  1. Ownership and Responsibility

You retain full ownership of your Templates. You are solely responsible for ensuring that your Templates:
• Are your original work and do not infringe any third-party rights.
• Comply with all applicable laws, regulations, and industry standards.
• Do not contain confidential client data or sensitive information.
• Are free from viruses, malware, or harmful code.

  1. Revenue Share and Payment

Doczilla determines subscription pricing and the allocation of revenue. Sellers receive a share of Net Revenue calculated using a subscriber share method. Payments are made in USD once your unpaid earnings reach a minimum threshold of USD $100. You are responsible for currency conversion costs and all applicable taxes.

  1. Taxes

You are responsible for collecting and paying all taxes associated with your earnings unless Doczilla is required by law to withhold and remit taxes on your behalf. You must provide accurate tax information upon request.

  1. Warranties, Professional Status, Insurance & Indemnity

7.1 General Warranties

You represent and warrant that:
(a) You are at least 18 years old.
(b) You have all necessary rights and permissions to license your Templates.
(c) Your Templates comply with the Doczilla Acceptable Use Policy, the Doczilla Templates License, Item Quality Expectations, and all other applicable Doczilla policies.

7.2 Professional Representation & Licensing

If you make any Professional Representation or publish Templates clearly targeted at qualified or experienced professionals, you additionally represent and warrant that:
(a) You hold any professional registrations, licences, or certifications required to practise or present yourself in that profession in your relevant jurisdiction(s) and you remain in good standing; and
(b) You will not misrepresent your qualifications, experience, scope of expertise, or the regulatory status of your Templates.

7.3 Mandatory Insurance (Professional Indemnity and Related)

Where you make a Professional Representation or sell Templates targeted at qualified or experienced professionals, you must, at your own cost, procure and maintain at all times during your Seller activity on Doczilla (and for the applicable limitation period thereafter):
(a) Professional Indemnity / Errors & Omissions insurance covering liabilities arising from your Templates (including errors in content, guidance, calculations, or forms) with coverage limits appropriate to the nature, scale, and geography of your sales;
(b) Any other insurances reasonably appropriate to your practice and offerings (for example, Public/Products Liability, Cyber Liability, or Media Liability) to the extent relevant; and
(c) Coverage that is territorially adequate for the locations in which your Templates may be purchased or used (which may include worldwide coverage if your Templates are listed globally).

7.4 Certificate of Currency; Ongoing Evidence

Upon request, you must promptly (and in any event within 5 business days) provide Doczilla with a Certificate of Currency and any other reasonable evidence of insurance. Doczilla may, in its discretion, require updated evidence annually or following any material change to your listings or business.

7.5 Lapse, Cancellation or Material Change

You must notify Doczilla in writing within 5 business days if any required insurance is cancelled, lapses, materially changes, or if a claim or circumstance arises that may reasonably affect coverage for liabilities arising from your Templates. Doczilla may suspend or remove your listings until satisfactory coverage is reinstated.

7.6 Responsibility for Insurance; No Doczilla Obligation

You acknowledge and agree that obtaining and maintaining insurance is solely your responsibility. Doczilla does not procure, recommend, broker, arrange, pay for, or monitor any insurance for you, and has no duty to verify the adequacy, currency, or scope of your insurance. Any optional “verification” or “badge” features Doczilla may offer are informational only and do not constitute insurance, advice, endorsement, or a warranty by Doczilla.

7.7 Required Disclosures & Disclaimers in Templates

Where Templates are targeted at professional users or end clients, you agree to:
(a) include reasonable assumptions, limitations and scope statements in the documentation;
(b) include a disclaimer that the Template is a general template only and does not constitute legal, accounting, engineering, financial, medical or other professional advice and that users should verify fitness-for-purpose and seek independent professional advice where appropriate; and
(c) avoid implying that the Template is officially approved, accredited, or certified by any regulator or professional body unless you hold express written approval and provide the relevant evidence upon request.

7.8 Geographic and Regulatory Compliance

You are solely responsible for ensuring your Templates (and any claims made about them) are accurate for the jurisdictions you reference. If a Template is jurisdiction-specific, you must clearly label it as such and avoid representations that suggest broader applicability without substantiation.

7.9 Indemnity (Expanded)

You agree to indemnify, defend and hold harmless Doczilla and the Group Companies, and their respective officers, directors, employees, agents and contractors, from and against any and all losses, costs (including reasonable legal fees), liabilities, damages, penalties, fines and expenses arising out of or in connection with:
(a) your Templates, Professional Representations, or marketing materials;
(b) any allegation that your Templates constitute professional advice or caused loss, including alleged errors or omissions;
(c) your failure to procure or maintain the insurances required under these Seller Terms or to provide evidence when requested;
(d) your misrepresentation of professional qualifications or regulatory standing; or
(e) any breach of these Seller Terms or applicable laws.

7.10 Remedies for Non-Compliance

If you fail to comply with Sections 7.2–7.5, Doczilla may, in its reasonable discretion and without liability: (i) suspend or remove any listings, (ii) suspend payouts, (iii) remove any verification badges, and/or (iv) suspend or terminate your Seller account under Section 10.

  1. Use for AI Training

By uploading Templates, you grant Doczilla the right to use your Templates to train AI models for internal purposes only, unless you opt out in writing. Such use will not affect your ownership rights.

  1. Management and Removal of Templates

Doczilla reserves the right to review, reject, or remove Templates at any time for quality, legal, or operational reasons. We are not responsible for the manner in which Subscribers use your Templates.

  1. Suspension or Termination

We may suspend or terminate your Seller account for breach of these terms, provision of false information, infringement of rights, failure to maintain required insurance, or conduct harmful to Doczilla, its community, or its reputation.

  1. Changes to These Terms

Doczilla may update these Seller Terms at any time. Material changes will be notified to you before they take effect. Continued use of your Seller account constitutes acceptance of the updated terms.
